General Terms and Conditions of Sale β VINEM
Document to be completed with your actual information before publication (fields in brackets [ ]). Compliant with the French Consumer Code and Civil Code for distance selling in France/EU.
Note: French law imperatively protects the consumer on certain points (legal guarantee of conformity, hidden defects, right of withdrawal) β these rights cannot be removed or reduced by contract, even in your favor. These GTC therefore protect you to the maximum extent permitted by law, while remaining legally valid.
Article 1 β Purpose and Scope
These general terms and conditions of sale (GTC) govern the sales of products made on the website [site name / URL], published by [First Name LAST NAME], individual entrepreneur (micro-enterprise), SIRET [14 digits], with its registered office at [address].
Any order placed on the site implies full and complete acceptance of these GTC by the customer, to the exclusion of any other document.
VINEM reserves the right to modify its GTC at any time. The applicable GTC are those in force on the date of the order.
Article 2 β Products
The products offered for sale are designer t-shirts, handmade, presented and described on the site with the greatest possible accuracy. The photographs illustrating the products have no contractual value; slight variations (shade, texture) may exist from one piece to another due to the artisanal nature of the manufacturing.
VINEM reserves the right to modify its catalog at any time, particularly in the event of stock shortage or discontinuation of a model.
Article 3 β Prices
Prices are indicated in euros, all taxes included (TTC). As VINEM benefits from VAT exemption (article 293 B of the French General Tax Code), VAT is not applicable and does not appear on invoices (mention "VAT not applicable, art. 293 B of the CGI").
Delivery costs are indicated before the order is confirmed and are added to the price of the products.
VINEM reserves the right to modify its prices at any time, it being understood that the applicable price is the one in force at the time of order confirmation.
Article 4 β Order
The customer selects the desired products, adds them to their cart, then confirms their order after checking the summary (products, quantities, price, delivery address) and accepting these GTC.
The order is only final after full payment confirmation. A confirmation email is sent to the customer.
VINEM reserves the right to cancel or refuse any order from a customer with whom there is a dispute relating to the payment of a previous order, or in case of suspected fraud, or unavailability of the ordered product β the customer would then be informed and fully refunded.
Article 5 β Payment
Payment is made online, at the time of order, by the means offered on the site (credit card and/or other means via [payment provider, e.g. Shopify Payments / Stripe / PayPal]). Banking data is transmitted securely and encrypted; VINEM does not at any time have access to this data or store it.
Payment is due immediately upon order. In the absence of effective payment, the order is automatically canceled.
Article 6 β Delivery
Products are delivered to the address indicated by the customer during the order, within the deadlines announced on the site (deadlines given for information only and may vary depending on the destination).
In case of significant delivery delay, the customer can contact VINEM. In accordance with article L. 216-2 of the French Consumer Code, in the event of failure to deliver on the agreed date, the customer may, under certain conditions, terminate the contract.
The customer is required to check the condition of the package upon receipt and to report any anomaly (damaged package, missing product) as soon as possible, ideally upon receipt, to the carrier and to VINEM.
The risks of loss or damage are transferred to the customer at the time of product delivery, unless the customer has chosen a carrier different from that offered by VINEM, in which case the transfer of risks occurs upon delivery to the carrier.
Article 7 β Right of Withdrawal
In accordance with articles L. 221-18 et seq. of the French Consumer Code, the consumer customer has a period of 14 clear days from receipt of the product to exercise their right of withdrawal, without having to provide a reason or pay a penalty, with the exception of return shipping costs.
To exercise this right, the customer notifies VINEM of their decision by e-mail to [contact@vinem.fr] (an unambiguous statement is sufficient; a standard form can be provided upon request).
The product must be returned new, unworn, unwashed, in its original condition and packaging, with its labels, within 14 days following notification of withdrawal. Return shipping costs are borne by the customer, unless otherwise stated on the site.
Reimbursement occurs within a maximum of 14 days from receipt of the returned product (or proof of shipment), by the same means of payment as that used for the order.
Exception: in accordance with article L. 221-28 of the French Consumer Code, the right of withdrawal does not apply to products manufactured according to customer specifications or clearly personalized (for example: a t-shirt made to measure or personalized at the customer's request). [Specify here if some of your products fall under this exception β if your t-shirts are sold in series from a fixed catalog, the standard right of withdrawal applies.]
Article 8 β Legal Guarantees
All products sold by VINEM benefit automatically, and without additional cost to the customer:
- from the legal guarantee of conformity (articles L. 217-3 et seq. of the French Consumer Code), for 2 years from delivery of the product;
- from the legal guarantee against hidden defects (articles 1641 et seq. of the French Civil Code), for 2 years from discovery of the defect.
These legal guarantees apply independently of any commercial guarantee that may be granted. The customer may choose to implement one or the other of these guarantees.
These guarantees are of public order: they cannot be excluded or reduced by these GTC, including to protect the seller β their explicit mention here is moreover a legal information obligation.
Article 9 β Liability
VINEM cannot be held responsible for the non-performance of the contract in case of force majeure, as defined in article 1218 of the Civil Code, nor in case of fault of the customer or a third party.
Within the limits authorized by law, VINEM's liability cannot be engaged for indirect damages resulting from the use of the site or products (such as loss of profit, opportunity or data), nor for use of the product not conforming to its normal purpose (for example, washing not conforming to care instructions).
This limitation does not apply to personal injury or in cases of gross negligence or willful misconduct, for which VINEM's liability cannot be limited by law.
Article 10 β Intellectual Property
The creations, visuals, patterns and graphic elements present on VINEM products as well as on the site are protected by copyright and trademark law. The purchase of a product does not confer on the customer any right of reproduction or exploitation of these creations.
Article 11 β Personal Data
Personal data collected as part of the order is processed in accordance with our [Privacy Policy].
Article 12 β Complaints and Mediation
For any complaint, the customer can contact VINEM at [contact@vinem.fr]. VINEM will endeavor to respond as soon as possible.
In accordance with articles L. 616-1 and R. 616-1 of the French Consumer Code, in the event of an amicably unresolved dispute, the consumer customer may have free recourse to the following consumer mediation service: [name and contact details of the consumer mediator to be designated β mandatory for any company selling to consumers].
Article 13 β Applicable Law and Competent Jurisdiction
These GTC are subject to French law. In the event of a dispute, and after an unsuccessful search for an amicable solution, French courts will have sole jurisdiction, subject to the imperative rules of jurisdiction applicable to consumer disputes.
